Nippon Paint reacquires European automotive coatings business from Wuthelam Group

Does the technology roadmap, plant footprint, and formulation support stay intact when a supplier changes ownership? Or does the transition introduce risk to supply continuity and regulatory standing? Automotive OEM and refinish coatings formulators sourcing from established European suppliers face this question every time ownership changes hands.

Nippon Paint Holdings Co., Ltd. has moved to answer that question directly. On August 7, 2026, the company’s board approved reacquiring the European automotive coatings business it divested to Wuthelam Group in 2021, and the Share Purchase Agreement was executed the same day. Closing is scheduled for October 2026, at a price of approximately €47 million (¥8.5 billion at EUR 1 = JPY 181.4). That figure gives a concrete benchmark for what a mid-size regional automotive coatings business currently trades at inside a strategic buy-back.

€47 million deal terms and governance review

The company states the business has shown “meaningful performance recovery” since the 2021 transfer, and that reacquiring it now is “the optimal decision to accelerate the Group’s global initiatives in the automotive coatings business.” Financial impact is expected to be immaterial to the fiscal year ending December 31, 2026.

The transaction was supported by an independent valuation from Novances Corporate Finance and reviewed by a special committee of three outside independent directors, with legal advice from Mori Hamada & Matsumoto Foreign Law Joint Enterprise; one director, Mr. Goh Hup Jin, was recused from deliberations due to a conflict of interest.

For formulators and buyers currently sourcing automotive coatings through this business, Nippon Paint plans to bring the unit’s operations, technology development, and commercial relationships back under direct Group ownership from October 2026.
